These Terms of Service ("Terms") govern your use of ComplianceLogger ("the Service"), a web application provided by Lexopoly Inc. ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using ComplianceLogger, you agree to:

• Be bound by these Terms of Service
• Comply with all applicable laws and regulations
• Our Privacy Policy
• Be at least 18 years of age or have parental consent

If you do not agree to these Terms, do not use the Service.

2. Service Description

What ComplianceLogger Provides

ComplianceLogger is a software tool for tracking construction waste disposal records. The Service includes:

• Waste log creation, editing, and storage
• Photo upload and documentation
• Confidence level tracking (Documented/Estimated/Reconstructed)
• Data export and reporting features
• Audit mode for retrospective record reconstruction

What ComplianceLogger Does NOT Provide

• Legal advice: We are not attorneys and do not provide legal counsel
• EPA compliance guarantee: Using ComplianceLogger does not ensure compliance or penalty immunity
• Regulatory expertise: We do not interpret EPA regulations on your behalf
• Audit representation: We do not represent you in EPA inspections or enforcement actions

3. Account Registration

Account Creation

To use ComplianceLogger, you must:

• Provide a valid email address
• Create a secure password
• Maintain accurate account information
• Be authorized to accept these Terms on behalf of your company (if applicable)

Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling security features

4. Subscription & Billing

Pricing

• Free Trial: 7 days, full access, no credit card required
• Paid Subscription: $149/year (annual billing only)
• Prices subject to change with 30-day notice to existing subscribers

Payment Terms

• Subscriptions are billed annually via Stripe
• Payment is due at the start of each billing cycle
• We accept major credit cards (Visa, Mastercard, Amex, Discover)
• All fees are non-refundable except as required by law

Automatic Renewal

• Subscriptions renew automatically unless cancelled before renewal date
• We will charge your payment method on file
• You will receive an email reminder 7 days before renewal
• Cancellation takes effect at the end of the current billing period

Cancellation & Refunds

• You can cancel anytime from your account settings
• No refunds for partial billing periods
• Access continues until the end of the paid period
• Data retention: 90 days after cancellation (see Privacy Policy)

5. Acceptable Use

Permitted Uses

You may use ComplianceLogger to:

• Track waste disposal records for your business
• Document waste management activities
• Generate compliance reports
• Reconstruct historical records with transparency

Prohibited Uses

You may NOT use ComplianceLogger to:

• Create false or fraudulent records with intent to deceive regulators
• Violate any federal, state, or local laws
• Infringe intellectual property rights
• Upload malicious code, viruses, or malware
• Attempt to hack, reverse engineer, or compromise the Service
• Scrape or extract data using automated tools
• Resell or redistribute the Service without authorization
• Impersonate others or create fake accounts
• Harass, abuse, or harm other users or our staff

6. User Content & Data

Your Responsibility

You are solely responsible for:

• The accuracy and legality of data you enter
• Compliance with EPA and environmental regulations
• How you use records created with ComplianceLogger
• Ensuring uploaded photos do not violate privacy or copyright laws

Our Rights

You grant us a limited license to:

• Store and display your data to provide the Service
• Back up your data for disaster recovery
• Use anonymized, aggregated data for analytics and improvement

We will NOT:

• Sell your data to third parties
• Use your data for advertising
• Share your data except as outlined in our Privacy Policy

7. Intellectual Property

Our Ownership

ComplianceLogger and all related materials are owned by Lexopoly Inc.:

• Software code, design, and user interface
• ComplianceLogger name, logo, and trademarks
• Documentation, marketing materials, and content

Your Ownership

You retain ownership of:

• All waste log data you create
• Photos and documents you upload
• Reports and exports you generate

8. Disclaimers & Limitation of Liability

No Warranty

ComplianceLogger is provided "AS IS" without warranties of any kind, including:

• No guarantee of EPA compliance: Using the Service does not ensure regulatory compliance
• No legal advice: The Service is not a substitute for legal counsel
• No uptime guarantee: We strive for 99.9% availability but do not guarantee uninterrupted access
• No error-free operation: Software may contain bugs or technical issues

EPA Audit Policy Disclaimer

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Lexopoly Inc. is NOT liable for EPA penalties, fines, or enforcement actions
• We are NOT liable for data loss (maintain your own backups)
• We are NOT liable for business interruption or lost profits
• Our total liability is limited to the amount you paid in the past 12 months (max $149)

9. Indemnification

You agree to indemnify and hold harmless Lexopoly Inc. from claims arising from:

• Your use or misuse of ComplianceLogger
• Violation of these Terms or applicable laws
• EPA penalties or enforcement actions related to your records
• Inaccurate or fraudulent data you create
• Copyright or privacy violations from your uploads

10. Service Modifications & Termination

Changes to Service

We reserve the right to:

• Modify or discontinue features with 30-day notice
• Update the Service for security or performance
• Change pricing for new subscribers (existing pricing grandfathered for 1 year)

Suspension & Termination

We may suspend or terminate your account if:

• You violate these Terms (especially prohibited uses)
• Payment fails or subscription lapses
• We suspect fraudulent or illegal activity
• Required by law or court order

We will provide notice when possible, but may terminate immediately for severe violations.

11. Privacy & Data Protection

Our Privacy Policy explains how we collect, use, and protect your data. Key points:

• Data encrypted in transit (HTTPS) and at rest
• Hosted on cloud infrastructure in the United States
• We do not sell your data
• You can export or delete your data anytime

12. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to contact us at support@lexopoly.com to attempt informal resolution.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration (Optional)

Disputes may be resolved through binding arbitration under the American Arbitration Association (AAA) rules. You may opt out of arbitration by emailing us within 30 days of account creation.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lexopoly Inc. regarding ComplianceLogger.

Changes to Terms

• We may update these Terms as the Service evolves
• Material changes will be notified via email 30 days in advance
• Continued use after changes take effect constitutes acceptance

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a business sale or merger.
